Terms of Service

1. Acceptance of these terms

By creating an account or using Pright ("the Service"), you agree to these Terms of Service. If you're using the Service on behalf of an organization, you're agreeing on its behalf and confirming you have the authority to do so.

2. Eligibility

You must be at least 18 years old, and have the legal capacity to enter into a binding agreement, to use the Service. By using the Service, you represent that you meet these requirements and are not barred from using it under any applicable law.

3. What Pright does

Pright is a browser extension and web application that lets teams assign, hand off, and track action items directly from the page they arose on, including a shareable trace/audit page for each action.

4. Accounts and seats

Each subscription covers a number of seats (teammates) on your workspace. You're responsible for the activity of everyone you invite, and for keeping your seat count accurate as your team changes.

5. Subscriptions and billing

Paid plans are billed in advance on a recurring basis (monthly, unless stated otherwise) and processed by our payment processor, Moyasar. Moyasar handles the transaction and payment collection on our behalf — see their own terms at moyasar.com. You can cancel at any time from Settings → Billing; see our Refund Policy for what happens to the current billing period.

6. Acceptable use

Don't use the Service to store or transmit unlawful, infringing, or harmful content, attempt to disrupt, reverse-engineer, or gain unauthorized access to it, scrape or harvest data from it at scale, or use it in a way that violates the rights of others or the terms of any third-party website you capture content from.

7. Your content and our license to it

You retain ownership of what you put into the Service (action descriptions, screenshots, attachments, and notes). You grant us a limited, non-exclusive license to store, process, and display that content as needed to operate the Service for you and your teammates. You're responsible for making sure you have the right to capture and share any content you add, including anything captured from third-party websites.

8. Our intellectual property

Pright, our logo, and the Service's underlying software are our property and protected by intellectual property law. These terms don't grant you any rights to our trademarks, branding, or software beyond the limited right to use the Service as intended. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Service.

9. Third-party websites

The Service lets you capture content and context from websites you visit. We aren't responsible for the content, policies, or practices of any third-party website, and capturing something from a page doesn't give you any rights to it beyond what that page's own owner allows.

10. Shared links

Some pages generated by the Service, such as an action's trace page, can be shared by link. Anyone with that link may be able to view its contents. You're responsible for who you share links with.

11. Copyright complaints

If you believe content stored in the Service infringes your copyright, email legal@pright.ai with a description of the work, the location of the infringing content, and your contact details. We'll investigate and remove content found to be infringing, and may terminate the accounts of repeat infringers.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate accounts that violate these terms, that we reasonably believe pose a security risk, or where payment has failed and isn't resolved within a reasonable period.

13. Disclaimer and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, we aren't liable for indirect, incidental, special, or consequential damages, or for any loss of data, profits, or business arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

14. Indemnification

You agree to defend and indemnify us against any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Service, your content, or your violation of these terms.

15. Governing law and disputes

These terms are governed by the laws of [Governing Jurisdiction], without regard to conflict-of-law principles. Any dispute arising from these terms or the Service will be resolved in the courts of that jurisdiction, unless applicable law requires otherwise.

16. Force majeure

We're not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including outages of third-party infrastructure, natural disasters, or governmental action.

17. General

If any part of these terms is found unenforceable, the rest remains in effect. These terms are the entire agreement between you and us regarding the Service, and supersede any prior agreements on the subject. We may assign these terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision isn't a waiver of it.

18. Changes to these terms

We may update these terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the new terms.
